TERMS & CONDITIONS OF SALE
DEFINITIONS:
In these conditions:-
- “The Company”
means Copy-it Limited
- “The Customer”
means the persons or firm on entering into this Agreement with the Company.
- “The Conditions”
means the Terms and Conditions herein contained relating to the sales and services of the Equipment and goods.
- “The Date of Delivery”
means the proposed date for delivery agreed between the Company and Customer.
- “The Goods”
means the goods supplied hereunder and shall include the equipment specified in the attached Schedule.
- “The Installation Date”
means the date on which the Company installs the Goods.
- “The Order”
means the order placed by the Customer accepted and signed by an authorised signatory of the Company.
- GENERAL
- Quotes for and acceptance of all Orders are subject to these Conditions which are to the extent permitted by law to the exclusion of all other guarantees, conditions and warranties (including any as to qualify or fitness for any particular purpose) whether express or implied by statute, common law or otherwise. Customers shall be deemed to have accepted these Conditions on placing its Order.
- No addition to or variation from these terms and conditions shall have effect unless the same is expressly accepted by the Company in writing under the hand of a Director of the Company.
- The Company’s catalogues, price lists and other advertising matter shall not form part of any contract between the Company and its customers.
- The Company reserves the right to modify designs and specifications without prior notification.
- PRICE ADJUSTMENTS
The Company reserves the right to vary from quoted prices due to the changes in the manufacturers list price of increases in the costs of supplying the Goods. Prices at date of delivery shall therefore prevail.
- PAYMENT
- Payment on account shall be made within 14 days of invoice or delivery whichever is the sooner.
- If no credit account is in place, then payment in full is required prior to delivery of the Goods.
- In the event of late or part-payment:-
- Interest at the rate of 5% above Barclays Bank Plc base lending rate shall be charged on the sum outstanding, or;
- An administration charge of £25.00 (exclusive of VAT) shall be levied where such sum in not exceeded by the amount of interest due.
- SHIPPING
Prices quoted are subject to delivery charges anywhere within the UK and will be advised at time of order depending on weight of product and shipping destination.
- DISCOUNTS
- Discounts given from the manufacturers’ list price are given conditionally upon payment by return.
- Payment later than 14 days from the Installation Date, delivery or invoice whichever is the last to occur will forfeit any discount given.
- DELAY
All reasonable efforts will be made to fulfil delivery dates but no liability for delay is accepted by the Company.
- PACKING
When at the Customer’s request, special handling, packaging or transportation is required, this will be done at the Customer’s sole expense.
- TITLE OWNERSHIP AND RISK
- Risk in the Goods passes on delivery.
- Title in the Goods will not pass to the customer until payment in full of the invoice.
- Where the Customer sells Goods onto a third party title will pass immediately before the Goods are delivered to such third party.
- Where the Goods are attached to or incorporated in other goods, or altered, title will not pass by virtue of such attachment or alteration, where the Goods can be detached or removed.
- Customers are required to store the Goods supplied separately from any other goods in its possession until:-
- Title has passed as provided in sub-paragraph (c) above or
- They are delivered by the Customer to a third party.
- If the Customer is overdue in payment for the Goods or other goods supplied by the Company, the Company may recover and sell the Goods. The Company may enter the Customers premises for this purpose and may if necessary, detach or remove the Goods from other goods or equipment. This will not affect any other right it may have against the Customer.
- Until payment for the Goods and all other goods which are supplied under these Conditions:-
- The Customer shall hold the Goods upon trust for the Company.
- If the Goods are sold the Customer shall hold the proceeds of sale on trust for the Company in a separate bank account specially designated for this purpose.
- The Company reserves the right to trace the proceeds of sale received into any bank or other account which the Customer maintains.
- If the Goods are sold the Company may by written demand require an assignment of the Customers right to recover the price from any third party.
- The Customer may not without the Company’s express written consent assign to any other person any rights arising from a sale of the Goods.
- WARRANTY
- Any Goods which are found to the Company’s satisfaction to be defective as a result of fault of manufacture or workmanship will be replaced or repaired by the Company PROVIDED THAT the Goods are returned properly packed (carriage and insurance paid) to the Company’s premises within 30 days of delivery.
- Except as provided under these Conditions all statutory, express, implied conditions of warranties are hereby excluded.
- RETURNS
- No return of Goods will be permitted unless confirmed by a Director of the Company, in writing.
- Return of all Goods be at the Customer’s sole expense and the company shall accept no liability for loss or damage to goods whilst in transit.
- A handling charge of 10% of invoice shall be charged for all Goods returned.
- CANCELLATIONS
Once accepted by the Company no order can be amended or cancelled except with the written approval of one of the Company Directors’ and upon terms indemnifying the Company against losses (including loss of profit) and expenses incurred by such cancellation or amendment.
- NOTICE
Any notice required to be given under these conditions shall be in writing addressed to the Company at its registered office.
- WAIVER
Any failure by the Company to exercise its rights under these conditions shall not constitute a waiver of such rights.
- JURISDICTION
These terms shall be subject to the non-exclusive jurisdiction of the High Court of Justice in England.
